In Case 14.2 Marchand v. Barnhill, the Court used the standard under Caremark to determine if Blue Bell breached its duty of loyalty and care.  Please identify the standard under Caremark and discuss a few of the factors that the Court found 

sufficiently supported a breach of that duty.
